1. Acceptance of Terms

By downloading, installing, or using the WhisperVoice application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and VRC Inc. (株式会社VRC) ("Company," "we," "us," or "our").

2. Description of Service

WhisperVoice is a cross-platform AI voice input application available on desktop (macOS/Windows), iOS, and Android. The Service uses cloud-based speech recognition technology (via third-party providers) to convert your spoken words into text, with optional AI-powered text polishing using your own API keys.

3. Eligibility

You must be at least 16 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Service on your personal devices
• Use the Service for personal or commercial purposes
• Use the transcribed text output for any lawful purpose

5. Subscription and Payment

WhisperVoice offers a Free Plan with basic features and a Pro Plan with advanced features including AI-powered text polishing, priority processing, and extended usage limits.

• Pricing: The Pro Plan is available at $9.99/month or $79.99/year (USD)
• Payment Processing: All payments are processed securely via a third-party payment processor
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• Cancellation: You may cancel at any time through your account settings or billing portal; access continues until the end of the current billing period
• Refunds: Refunds are handled in accordance with applicable consumer protection laws
• Price Changes: We will provide at least 30 days' notice before any price increase

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or servers
• Use the Service to infringe on the intellectual property rights of others
• Transmit any viruses, malware, or other malicious code
• Use the Service in violation of any applicable laws or regulations
• Use the Service to process content that is illegal, harmful, or violates third-party rights

7. User Responsibilities

You are responsible for:

• Ensuring you have proper authorization to record and transcribe any audio content
• Obtaining necessary consents when transcribing conversations involving other people
• Complying with applicable laws regarding audio recording in your jurisdiction
• Maintaining the security of your devices and accounts
• Any content you create using the Service

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, and content, is owned by VRC Inc. (株式会社VRC) and is protected by intellectual property laws. All rights not expressly granted herein are reserved.

8.2 Your Content

You retain all rights to the content you create using the Service. We do not claim ownership over your transcribed text or any derivative works you create. We do not use your voice recordings or transcribed text to train AI models.

9. Third-Party Services

The Service relies on third-party service providers for the following functions:

• Speech Recognition: Voice audio is sent directly from your device to the selected speech recognition provider for transcription. You may choose your preferred provider in the app settings.
• AI Text Processing (optional): When you use the optional AI text polishing feature with your own API keys, your transcribed text may be sent to AI service providers you configure. These calls are made directly from your device using your own API credentials.
• Payment Processing: Subscription payments are handled by a third-party payment processor.
• Hosting & Infrastructure: The Service is hosted on third-party cloud infrastructure.

Your use of the Service is also subject to the terms and policies of these third-party providers. We do not control and are not responsible for the accuracy of transcriptions produced by third-party speech recognition providers, the security practices of third-party service providers, or errors in payment processing. Third-party services may change, become unavailable, or discontinue without notice. When you use your own API keys for AI text processing, you are solely responsible for your relationship with that provider, including any costs and data handling. Details about data processing locations are provided in our Privacy Policy.

10. Disclaimer of Warranties

Speech recognition accuracy may vary depending on factors such as audio quality, accent, background noise, and language. We do not guarantee the accuracy, completeness, or reliability of any transcription output. You should independently verify transcriptions before using them for any purpose where inaccuracy could cause harm, including but not limited to medical, legal, financial, or regulatory contexts.

AI text processing features are provided for convenience only. AI-generated modifications may alter the meaning of your original text, introduce inaccuracies, or produce unexpected results. You are solely responsible for reviewing and verifying any AI-processed output.

We do not guarantee the preservation of your transcription data. Transcriptions may be lost due to device failure, application errors, network interruptions, or account deletion. You are responsible for maintaining your own copies of any important content.

Note: Under the Japanese Consumer Contract Act (消費者契約法), certain warranty limitations may not apply to consumer contracts to the extent prohibited by law. Nothing in these Terms limits liability for intentional misconduct (故意) or gross negligence (重過失).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VRC INC. BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from transcription errors or inaccuracies
• Any damages exceeding the total amount you paid for the Service in the preceding 12 months

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability shall be limited to the maximum extent permitted by law.

Under the Japanese Consumer Contract Act (消費者契約法), clauses that entirely exempt the operator from liability for damages caused by default or tort are void. The limitations and exclusions in this section do not apply to liability arising from our intentional misconduct (故意) or gross negligence (重過失), or to liability that cannot be limited under the Consumer Contract Act. Our liability limitations apply only to the extent permitted by applicable law.

12. Indemnification

To the extent permitted by applicable consumer protection laws, you agree to indemnify and hold harmless VRC Inc. (株式会社VRC), its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

13. Modifications to Service and Terms

We reserve the right to:

• Modify or discontinue the Service at any time without notice
• Update these Terms at any time by posting the revised version
• Change pricing or introduce new features

We will provide at least 30 days' advance notice before material changes take effect. Under Japanese Civil Code Article 548-4 (定型約款の変更), changes to standard terms are valid when they are either (a) beneficial to users, or (b) reasonable in light of the circumstances. Your continued use of the Service after the notice period constitutes acceptance of the modified Terms.

14. Termination

We may terminate or suspend your access to the Service immediately if you materially breach these Terms, engage in illegal activity, or use the Service in a manner that could harm other users or the integrity of the Service. Upon termination, your license to use the Service will immediately cease.

You may terminate your account at any time by deleting your account through the app settings or by contacting us. Upon account deletion, your account enters a 30-day grace period during which you may restore it. After the grace period, your personal data will be permanently deleted, except where retention is required by applicable law.

If we terminate your account without cause, we will provide a pro-rata refund for any unused prepaid subscription period.

Sections 8 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) shall survive any termination or expiration of these Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through the following process:

1. Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation.
2. Mediation: If negotiation fails, disputes may be submitted to mediation.
3. Jurisdiction: The Tokyo District Court (東京地方裁判所) shall have exclusive jurisdiction of first instance for all disputes. However, mandatory consumer protection laws of your country of residence may provide additional rights that cannot be waived.

16. Export Compliance

You agree to comply with all applicable export control laws and regulations. The Service may not be used in countries subject to comprehensive sanctions.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, epidemics, government actions, cyberattacks, internet or telecommunications failures, or failure of third-party service providers. During such events, the affected party's obligations shall be suspended for the duration of the event.

19. Anti-Social Forces Exclusion (反社会的勢力の排除)

You represent and warrant that you are not a member of, or associated with, an organized crime group (暴力団), a member of such a group (暴力団員), a person who was a member within the past five years, or any other anti-social force (反社会的勢力). We may immediately terminate your account if this representation is found to be false.

20. General Provisions

• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
• Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Notices: We may provide notices to you via email, in-app notification, or by posting on our website. You are responsible for keeping your contact information current.
• Language: These Terms may be provided in multiple languages. In the event of any conflict or inconsistency between language versions, the Japanese language version shall prevail.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VRC Inc. (株式会社VRC) regarding the Service and supersede all prior agreements and understandings.
